Choosing the right vehicle
Foreign investors can usually operate through a limited liability company, a simplified joint stock company or a branch of a foreign company. The choice depends on the activity, the capital involved, the number of shareholders and whether the Saudi entity's liability should be ring-fenced from the parent.
Ministry of Investment registration
Under the new Investment Law, foreign market entry is based on registration with the Ministry of Investment. This typically requires the parent company's financial statements, its commercial registration and a shareholder resolution to invest in the Kingdom, legalised and translated in accordance with the approved procedures.
Incorporation and commercial registration
After registration, the articles of association are prepared and the commercial registration is issued through the Saudi Business Center. Statutory registrations follow, including the Chamber of Commerce, Zakat and tax, social insurance and the Ministry of Human Resources platforms.
Common mistakes
- Translating documents before they are properly legalised, forcing the process to be repeated.
- Choosing an activity that does not match the approved classification, delaying sector licensing.
- Overlooking Saudization requirements when planning the first hires.
- Signing with local partners before the legal entity is complete.
Planning ahead with a lawyer who knows the procedures saves weeks of waiting. Requirements vary by sector, so have your specific situation reviewed before you start.
